Terms of Use
SIRIN CHEF LIMITED
TERMS AND CONDITIONS OF SALE
Food Manufacturer Direct – Open to Both the Public and Trade
1. STRUCTURAL SETUP, ORDER TIER CLASSIFICATION & VALUE DISCOUNTS
1.1. Single Composite Supply: Every order submitted via this website constitutes a single, indivisible contract for a “supply of delivered goods” under HMRC regulations. The grand total displayed on the final checkout order sheet comprises the ex-factory base price of the goods, applicable volume tiers, and integrated carriage costs.
1.2. Spot-Transaction Volume Discounts: All transactions executed through this website are handled strictly as independent, isolated “Spot Transactions” on an individual order basis. We do not offer or honour historical pricing, continuous contractual rates, or fixed customer-specific price locks.
1.3. Real-Time ERP-to-CSV Processing: Pricing structures, volume discount tiers, and spend brackets are systematically governed by the active pricing CSV file uploaded directly from our Sage ERP system to the website database. These parameters fluctuate dynamically based on raw material costs and may be altered at any time without prior notice. The binding financial rates and discount triggers are exclusively those calculated by the checkout engine at the precise second the order form is submitted.
1.4. Current Baseline Framework: For indicative reference, volume discount structures operate on a fluid tier matrix mapped per single transaction:
• Tier 1 (£0.00 to £250.00): Baseline entry rate. 0% volume discount applies.
• Tier 2 (£250.01 to £500.00): Introductory volume tier. 5% volume discount applies.
• Tier 3 (£500.01 to £1,000.00): Mid-tier independent trade volume. 10% volume discount applies.
• Tier 4 (£1,000.01 to £1,500.00+): Top-tier wholesale and commercial volume. 15% volume discount applies.
1.5. Automatic Carriage Calculations & Pallet Pool Dilution: We do not negotiate offline Minimum Order Quantities (MOQs) or amortise hidden distribution variables into individual product unit prices. Everything is calculated automatically by the website’s checkout logic. When a buyer selects their first product and selects pallet delivery, the live order sheet immediately displays the full, baseline carriage cost of that entire pallet. As subsequent items are added, the proportionate transport cost per product decreases rapidly. The transport proportion will instantly spike back up the second the basket crosses our absolute 500kg limit, triggering an automated second pallet charge, before sequentially decreasing again as the user continues to add items.
2. THE ORDER SHEET GRID, MANDATORY MOQS & WEIGHT CONSTRAINTS
2.1. Product Sheet Entry Specifications: The website order sheet displays specific parameters for every product: Stock Keeping Unit (SKU), Product Description, Pack Format, MOQ Weight (Kilograms), MOQ Units, and MOQ Cases. Every customer, without exception, must meet the baseline MOQ configuration for each product before it can be added to the order form.
2.2. Standardised 24kg Baseline Threshold: All product lines are engineered to a standard baseline minimum threshold of 24kg. This baseline constraint applies universally across all customer types and all delivery methods.
2.3. Courier Network Multiplier Restrictions (DPD & Courier): If a customer selects delivery via DPD or an equivalent courier network, they are strictly locked to ordering in exact multiples of that specific product’s MOQ. Individual cases cannot be added ad-hoc. This strict limitation is enforced because DPD and courier networks enforce a rigid gross weight limit of 30kg per consignment package. Given that our heavy-duty protective polystyrene-lined outer shipper box and outer packaging weigh approximately 5kg, the maximum allowable net food product weight is capped exactly at 24kg per parcel (consisting of 6 internal boxes containing 4kg of product each).
2.4. Pallet Delivery & Customer Collection Volume Customisation: If a customer selects either ‘Customer Collection’ directly from our factory gates or chooses ‘Pallet Delivery’ via our freight network, they are not restricted to rigid multipliers. After satisfying the baseline product MOQ, they are legally and digitally permitted to add extra cases one at a time, allowing complete volume customisation up to the maximum pallet allocation limits.
3. WEBSITE EXPLORATION, USER JOURNEY & ORDER FUNNEL REDIRECT
3.1. Open Exploration: Users are free to explore the website, browse product lines, and view base prices without restriction.
3.2. Order Funnel Redirect: The moment a user selects any product to purchase from the order sheet, they will be automatically taken to the “Customer Order” page.
3.3. Mandatory Data Input: Upon redirect, the user is required to immediately select their preferred delivery method and provide their full personal details. This immediate disclosure is a structural prerequisite necessary to pull variable third-party carrier grids and calculate precise carriage costs on the order sheet.
4. COLLECTION OF CUSTOMER DATA & DELIVERY FREIGHT QUOTING
4.1. Non-Fixed Freight Rates: Pallet transport and courier delivery fees are not flat-rate charges across the UK. They fluctuate dynamically based on volume, weight, and destination.
4.2. Data Requirements: To accurately quote and execute the carriage element of the contract, we must collect your Name, Email, Address, Phone Number, and a separate Delivery Address if applicable. Without these parameters, the website cannot calculate a valid price for delivery.
4.3. Postcode Validation: The carriage rate is calculated strictly on the postcode provided at checkout. If an incorrect postcode is provided to circumvent correct pricing, we reserve the right to withhold delivery and bill the client for the pricing deficit via a revised pro-forma invoice.
5. GEOGRAPHIC SURCHARGES & REGIONAL REMOTENESS
5.1. Regional Surcharges: Deliveries destined for Northern Ireland, Northern Scotland, the Scottish Highlands and Islands, the Isle of Wight, the Isle of Man, or any offshore UK islands are strictly subject to premium regional carriage fees imposed by our carriers.
5.2. Buyer Liability: All such regional surcharges will be calculated at checkout and passed directly to the buyer.
5.3. Custom Outer Hebrides & Island Quotation Workflow: For deliveries destined for the Outer Hebrides, Orkney, Shetland, or any highly complex offshore island routes, the website checkout will automatically flag the consignment. We will manually obtain a bespoke freight quote from our carrier networks and email an updated, itemised order form to the buyer. Production on these orders will remain entirely paused until the customer explicitly confirms the revised total and completes full payment.
5.4. Extended Island Timelines & Ferry Disclaimers: Due to extended carriage timelines and transit legs requiring multiple ferry crossings to remote areas, we accept no responsibility for any reduction in the thermal window, transit stability, or fresh shelf-life of perishable items caused by unavoidable regional delivery or ferry delays.
6. CONTRACT FORMATION, PAYMENT & PROCESSING TRIGGERS
6.1. Order Submission: To submit an order, the customer must manually tick the declaration box confirming agreement to these Terms and Conditions and click the “SEND ORDER” button.
6.2. The Price Lock & Contract Formation: The display of products, live CSV-driven pricing, and transport costs on our website represents an “invitation to treat” only. The submission of an order form constitutes an unaccepted offer by the buyer at that specific price. A legally binding contract is formed, and the order sheet price is formally honoured and locked, strictly at the moment cleared payment is received and verified by our accounts team.
6.3. Anti-Arbitrage & Post-Lock Fluctuations: Sirin Chef Limited operates on a real-time cost-to-manufacture pricing model. Draft orders, unsubmitted carts, or emailed order sheets have zero commercial weight and do not lock past pricing. If an order sheet is generated (e.g., in late March to beat upcoming minimum wage or ingredient price updates) but remains unpaid until a later date, the old price is voided automatically. The transaction will refresh to the newly uploaded live Sage ERP rates active at the second payment is finalized.
6.4. Payment Methods (No Online Data Storage): The website does not ask for, capture, or store bank details or plastic card numbers online. The final step requires the customer to either ring the factory to complete a telephone credit/debit card payment or execute an immediate direct bank transfer (Faster Payment) to our nominated bank account.
6.5. Operating Hours for Phone Payments: Telephone card payments can be processed strictly Monday to Friday, between 9:00am and 5:00pm.
6.6. Production Clock Trigger: No kitchen scheduling, ingredient prep, manufacturing allocations, or processing timelines will commence until cleared payment has been officially received and confirmed by our accounts team.
6.7. Weekend Delay Warning: If an order is sent and paid for via bank transfer over a weekend, the payment will not be seen, reviewed, or actioned before 9:00am on the following Monday. No production or processing takes place over weekends.
7. PRODUCTION LEAD TIMES & WORKING BUSINESS DAY MATRICES
7.1. Custom Production Gates: Because we manufacture, process, or re-pack every single item we sell to order, all purchases are subject to mandatory production lead times.
7.2. Clear Exclusion of Weekends: All production timelines and lead time calculations strictly exclude weekends (Saturdays and Sundays) and UK public bank holidays. Commercial food processing and blast operations function exclusively on working business days.
7.3. Chilled and Ambient Schedules (Day 1 for Day 3 Working Matrix): All orders containing exclusively chilled or ambient products operate strictly on a 3-working-day matrix from the point of cleared payment. For example:
• Day 1 (Friday): Funds clear, order logged, and manufacturing queued.
• Day 2 (Monday): Item is physically scheduled, manufactured, and blast chilled.
• Day 3 (Tuesday): Item is packed into cases, labelled, and dispatched via overnight logistics.
• Delivery (Wednesday): Consignment is received by the customer.
7.4. Frozen Product Schedules (Day 1 for Day 10 Working Matrix): All orders containing frozen lines operate strictly on a 10-working-day timeline to accommodate our specialized flat-freezing cycle, mapped across working business days as follows:
• Day 1: Payment clears, order logged, and manufacturing queued.
• Day 2: Fresh cooking, processing, and high-velocity ambient cooling followed by blast chilling down to 2°C–5°C.
• Day 3: Portioned items are transferred to specialized ventilated baskets and laid completely flat. This custom flat-freezing process ensures bags freeze independently, preventing them from fusing together and allowing the customer to easily pull single, individual units from the case.
• Days 4 to 8 (Remaining Week 1): The product undergoes deep, commercial flat-freezing at -28°C to lock in quality and maintain absolute structural separation.
• Day 9 (Following Week): Frozen products are carefully packed into their final cases and placed into deep hold-storage.
• Day 10: The frozen order is transferred to temperature-controlled logistics networks for final dispatch and delivery.
8. TRANSIT RECOMMENDATIONS, PACKAGING & ABSOLUTE TEMPERATURE DISCLAIMER
8.1. Recommended Networks: We strongly recommend utilizing either our temperature-controlled freight networks or our dedicated courier options as the safest methods to ensure products arrive in optimal condition.
8.2. Courier Packaging Specifications: For courier shipments, net weights of 24kg of frozen product are packed tightly inside dual-walled cardboard boxes, protected by an outer heavy-duty polystyrene-lined shipper case, forming a triple thermal barrier.
8.3. Total Transfer of Risk: Regardless of the carriage network selected, we exercise no operational control over the product once it leaves our factory site. Consequently, the risk of thermal variation, degradation, and loss transfers entirely to the buyer at the factory gate.
9. LEGAL RETURN & CANCELLATION EXEMPTION (STRICT “NO RETURNS” FOOD POLICY)
9.1. Perishable Food Goods Exclusion: In accordance with UK statutory consumer exemptions for distance selling under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the standard 14-day online cancellation and return right does not apply to any perishable food products, chilled goods, or frozen items. By completing checkout, the buyer explicitly acknowledges and agrees that they forfeit their right to cancel or return perishable food orders once processing has commenced.
9.2. Strict No-Returns Policy: Because our products (soups, stews, dressings, fresh ingredients, sauces, and culinary chocolate) spoil or degrade if temperature controls are broken, all food sales are final. We cannot accept returns, exchanges, or refunds if you change your mind, order the wrong item, or cannot store the goods.
9.3. Non-Perishable Goods Only: Any non-perishable hardware or non-food items (if applicable) carry a standard 14-day return right, provided they are completely unopened and in resalable condition at the buyer’s return carriage expense.
10. SPECIAL DELIVERY INSTRUCTIONS & UNATTENDED DELIVERY LIABILITY WAIVER
10.1. Special Instructions Box: A text box is provided during checkout for “Delivery Special Instructions”. Leaving instructions here means you accept all associated risks, including theft, tampering, or spoilage.
10.2. Failed Delivery Attempts: If the carrier arrives at the destination and cannot get a reply, cannot find anyone to leave the goods with, or determines there is no safe place to leave the consignment, the entire delivery remains the sole financial responsibility of the customer.
10.3. Spoilage and Destruction: Because these are perishable food products, they cannot be returned to an ambient freight depot over a weekend. If a delivery fails due to customer absence, and the food spoils or must be destroyed by the carrier, no refund will be issued, and the customer remains liable for the full invoice value.
11. PALLET DELIVERY TERMS & STRUCTURAL LIMITS
11.1. Forklift Requirement: All palletised deliveries require the buyer to have an operational forklift and a certified operator on-site to off-load the transit vehicle.
11.2. Off-Loading Liability: Drivers are entirely restricted from hand-unloading pallets. If a delivery fails due to the lack of a forklift or operator, the buyer is liable for all associated re-delivery, storage, and handling fees.
11.3. Weight Restrictions: The maximum allowable gross weight per single pallet is 500kg.
11.4. Multiple Pallet Allocation: Any order weight exceeding 500kg automatically triggers and will be invoiced as an additional pallet (e.g., a total order weight of 505kg operationally and legally constitutes a 2-pallet consignment).
12. TEMPERATURE MANAGEMENT & MIXED TEMPERATURE CONSIGNMENTS
12.1. Standard Manufacturing Core Journey: The buyer acknowledges that all manufactured food lines undergo an identical thermal reduction cycle. Cooked products are packed at circa 85°C–90°C, brought down to 28°C–30°C in ambient high-velocity air coolers, and processed through blast chillers to bring the core food temperature down to a food-safe 2°C–5°C prior to facing their operational stream fork (Picking Chill vs. -28°C Flat Freezing).
12.2. Mixed Pallet Stacking Profile & Routing: Where a single order contains a combination of both frozen and chilled products under one shipping contract, the pallet will be physically built with the heavy, boxed frozen product forming the base of the consignment and the chilled boxed product stacked securely on top. The entire mixed pallet will be dispatched via our frozen freight and National Distribution Centre (NDC) network.
12.3. Thermal Insulation & Network Reality: The buyer explicitly acknowledges that commercial freezer transit networks and NDC cross-docking sheds are engineered strictly to maintain existing product temperatures, not to remove heat or actively freeze items. Because heavy-duty cardboard boxes stacked tightly on a pallet act as highly efficient thermal insulators, the short overnight transit window does not provide the duration or airflow required to freeze the chilled products on top. Chilled lines will arrive at their destination safely maintaining their chilled state.
12.4. Mixed Transit Quality Waiver: While our packaging is designed to insulate and protect your goods during overnight transit, Sirin Chef Limited accepts no liability for minor temperature variations on mixed pallets. By placing a mixed temperature order under a single checkout, the buyer accepts the micro-climate dynamics of a mixed pallet. If the buyer requires absolute separation of transit environments with zero shared thermal exposure, they must place two entirely separate orders to route the items independently through their native single-temperature networks.
13. COURIER NETWORKS (DPD) & AMBIENT TEMPERATURE LOGISTICS
13.1. DPD Ambient Temperature Routing: Choosing the DPD delivery option at checkout means selecting a non-temperature-controlled truck and cross-dock network.
13.2. Exclusion of Ambient Liability: We accept absolutely no liability for the arrival temperature, thermal degradation, or shortened shelf-life of products sent via DPD. Due to the high thermal mass of a solid 24kg block of food, product temperatures are engineered to maintain a safe state (under +5°C) during short overnight transit legs within our triple-insulated shipper cases. Using this courier network is done entirely at the buyer’s own risk.
13.3. Ad-Hoc Dedicated Chilled Couriers: Bespoke, temperature-controlled dedicated courier deliveries can be arranged on an ad-hoc basis by contacting our team directly post-checkout. These will be billed manually onto your final invoice.
14. DAMAGED, DEFECTIVE, OR MISSING GOODS
14.1. Inspection upon Delivery: The buyer must inspect all goods immediately upon arrival.
14.2. Signing for Damages: If a pallet or parcel arrives visibly damaged, the delivery note must be signed as “DAMAGED” by the recipient. Signing “unchecked” or “received in good condition” waives your right to a claim.
14.3. Strict Reporting Window: Any delivery damage, shortage, or temperature defect must be reported to us in writing within 4 hours of delivery, accompanied by clear photographic evidence of the product, packaging, and the signed delivery note.
14.4. Remedies & Limitation of Liability: Where a genuine defect or delivery damage is proven within the reporting window, our liability is strictly limited to replacing the affected food items or issuing a credit note. To the maximum extent permitted by law, Sirin Chef Limited shall not be liable for any indirect, special, consequential, or economic loss, including but not limited to loss of business profits, goodwill, revenue, or anticipated savings.
14.5. No Right of Set-Off: Trade buyers shall pay all amounts due under the contract in full without any set-off, counterclaim, deduction, or withholding, except as required by law.
15. WEBSITE USE, IMAGERY, DECLARATIONS AND INTELLECTUAL PROPERTY
15.1. Lifestyle Imagery & Serving Suggestions: All product photographs, lifestyle images, graphics, and video content displayed on this website are intended strictly for illustrative purposes and conceptual styling representation only. They constitute “serving suggestions” and do not form a literal representation of the final delivered product payload. Sirin Chef Limited delivers commercial culinary bases, meals, and component packs. Any garnishes, fresh herbs, side dishes, serving tableware, or additional culinary elements depicted in marketing imagery are explicitly excluded from the purchase contract.
15.2. Mandatory Product-Level Data Profiles & Cover-All Allergen Declarations: The website operates on a system of absolute disclosure. Every individual product entry on this website contains a dedicated, comprehensive product specification profile consisting of three mandatory components: (i) a full ingredient list, (ii) a complete nutritional declaration breakdown, and (iii) our universal safety warning.
Natural Product Variance Windows: While we ensure these product-level specifications are systematically maintained and accurate, the buyer acknowledges that we manufacture food utilizing natural raw agricultural commodities. Due to natural seasonal variations in raw ingredient parameters, moisture levels, soil components, and the physical scaling dynamics of artisan commercial cooking, all stated nutritional parameters represent typical calculated means subject to legally permitted tolerances.
ALLERGEN ADVICE: For allergens, including cereals containing gluten, see ingredients in (#BOLD CAPITALS#). Due to the risk of unintentional cross-contact at our factory or suppliers, we are unable to give a 100% guarantee that our products are free from specific allergens.
Final Verification Burden: Trade buyers—especially those commercial operators, caterers, or wholesale distributors serving the general public—hold the sole and absolute legal responsibility to inspect the physical product labelling applied to the packaging upon delivery, and to manage their own cross-contact declarations, before serving, heating, or commercially reselling any products to end consumers.
15.3. Website Errors & Database Corruption: In the event that a product is mistakenly listed at an incorrect price, incorrect weight, or with an erroneous ingredient profile due to a corrupted Sage ERP export, a system database bug, or a CSV file processing error, we reserve the absolute right to refuse, void, or cancel any orders placed for that item prior to dispatch. This right applies regardless of whether an order sheet has been generated or payment has been processed (in which case a full refund will be immediately issued to the buyer as the sole remedy).
15.4. Intellectual Property, Asset Theft & Image Protection: All material displayed on this website, including but not limited to proprietary food photography, lifestyle imagery, graphic assets, website layouts, code architecture, text, product descriptions, ingredient matrices, and proprietary recipe base descriptions, is the exclusive intellectual property of Sirin Chef Limited and is protected under UK and international copyright laws.
Absolute Prohibition of Copying: Users, customers, and third-party competitors are strictly prohibited from copying, downloading, reproducing, screenshotting, scraping, or saving any images or text from this website for commercial use, public display, or placement on competing portals.
Automated Scraping Ban: The use of automated systems, AI training crawlers, or extraction software to scrape images, data, or product text from this site is explicitly forbidden.
Commercial Remedies for Theft: Any unauthorized duplication, modification, or distribution of our photography or recipe formulations constitutes a willful infringement of intellectual property. Sirin Chef Limited reserves the right to take immediate legal action, seek injunctive relief, and claim full financial damages for loss of business and brand degradation against any individual or corporate entity found violating this clause.
16. DATA PROTECTION & PRIVACY
16.1. Data Compliance: We process all personal information in strict accordance with the UK GDPR and the Data Protection Act 2018.
16.2. Use of Information: The contact and address details gathered during checkout are used strictly to execute the delivery contract, verify your identity over the phone, and process bank transfers. We will never sell your details to third parties.
17. GOVERNING LAW & JURISDICTION
17.1. Jurisdiction: These Terms and Conditions, and the composite contract of delivered goods formed through this website, are governed exclusively by the laws of England and Wales. Any legal disputes shall be subject to the exclusive jurisdiction of the English courts.
